These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Blue Ladder Strategies LLC, governing your access to and use of our business consulting, strategy, and implementation services (collectively, the "Services"). By engaging with Blue Ladder Strategies LLC,

accessing our website, or utilizing any of our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use our Services.

1. Services Overview

Blue Ladder Strategies LLC specializes in providing strategic consulting and implementation services designed to help service-based businesses achieve sustainable growth, optimize client acquisition, enhance operational efficiency, and increase profitability. Our Services aim to enable clients to scale without the common challenges of burnout, personal life sacrifices, or cash flow constraints. The specific scope of work, deliverables, timelines, and fees for each engagement will be detailed in a separate, mutually agreed-upon Service Agreement, Proposal, or Statement of Work ("Service Agreement"), which will supplement and be incorporated by reference into these Terms. In the event of a conflict between these Terms and a Service Agreement, the provisions of the Service Agreement shall prevail regarding the specific services outlined therein.

2. Client Responsibilities

To ensure the successful delivery of our Services, the Client agrees to:

Provide timely and accurate information, data, and access to necessary systems or personnel as reasonably requested by Blue Ladder Strategies LLC.Appoint a primary contact person to liaise with Blue Ladder Strategies LLC.Make timely decisions and provide approvals necessary for the progression of the Services.Undertake any agreed-upon tasks or implement strategies as outlined in the Service Agreement to facilitate the achievement of desired outcomes. Be responsible for the accuracy and legality of all data and content provided to Blue Ladder Strategies LLC.

3. Payment Terms

Payment terms, including fee structures, invoicing schedules, and accepted payment methods, will be explicitly detailed in your specific Service Agreement. Unless otherwise specified, all invoices are due upon receipt. Failure to make timely payments may result in the suspension or termination of Services, at our sole discretion, without prejudice to any other rights or remedies available to us. All fees are non-refundable unless otherwise expressly stated in your Service Agreement.

4. Confidentiality

Both Blue Ladder Strategies LLC and the Client agree to maintain the confidentiality of all

proprietary or confidential information disclosed by the other party during the course of the engagement. Confidential information includes, but is not limited to, business plans,

financial data, client lists, marketing strategies, and trade secrets. This obligation of confidentiality shall survive the termination of the Services. Exceptions apply to information that is publicly available, independently developed, or required to be disclosed by law.

5. Intellectual Property

All intellectual property rights, including copyrights, trademarks, and trade secrets, associated with

the methodologies, tools, strategies, templates, and any proprietary software developed or utilized by Blue Ladder Strategies LLC in the provision of Services, shall remain the sole and exclusive property of Blue Ladder Strategies LLC. Upon full payment for Services, the Client is granted a non-exclusive, non-transferable license to use any deliverables specifically created for the Client under the Service Agreement for internal business purposes only. The Client retains ownership of its pre-existing intellectual property and any data provided to Blue Ladder Strategies LLC.

6. Marketing Communications and Consent

By providing your contact information (including, but not limited to, email address and phone number) to Blue Ladder Strategies LLC, you expressly consent to receive various marketing and promotional communications from us. These communications may be delivered via:

Email: Newsletters, service updates, promotional offers, and strategic insights. Phone Calls: Direct calls for sales, follow-ups, or service promotions.Text Messages (SMS/MMS): Promotional alerts, service reminders, or strategic tips.

You affirm that you are the subscriber or a customary user of the phone number(s) and email address(es) provided. Message and data rates may apply for text messages.

Opt-Out Option:

You retain the absolute right to revoke this consent at any time without penalty. You may opt out of receiving future communications by:

Email: Clicking the "unsubscribe" link clearly provided in the footer of any marketing email you receive from us.Text Message: Replying "STOP" to any text message received from our service. You will receive a confirmation of your opt-out. Direct Contact: Sending an email to [email protected] or calling us at 816-309-1877 with your request to be removed from our marketing lists. Please allow a reasonable period for your request to be processed.

7. Use of Client Results for Marketing

You explicitly acknowledge and agree that Blue Ladder Strategies LLC reserves the right to use, publish, and publicly showcase the quantifiable and qualitative results achieved for your business as a result of our Services. This includes, but is not limited to, increased revenue figures, time saved through automation, successful client acquisition rates, testimonials (with your explicit permission for direct quotes), and other key performance indicators. These results may be utilized in our marketing materials, case studies, website content, presentations, and other promotional activities, aimed at demonstrating our capabilities to prospective clients and the general public. We commit to presenting your results in a professional manner and, where practical, will seek to anonymize or aggregate data if specific identifying details are not necessary for marketing purposes or if you request such anonymization in writing.

8. Performance Goals and Service Approach

Blue Ladder Strategies LLC is committed to delivering high-quality lead generation services using proven systems, AI automations, and data-driven strategies. While past clients have seen strong results, performance outcomes can vary depending on industry, seasonality, market conditions, and client participation.

Blue Ladder Strategies LLC does not guarantee a specific number of leads or financial results. However, we work closely with each Client to optimize campaigns, improve results over time, and provide consistent communication and support throughout the engagement.

To help maximize campaign performance, the Client agrees to:

Collaborate actively and fulfill all responsibilities outlined in Section 2 and the Service Agreement.

Maintain required advertising budgets, access permissions, and third-party tools (e.g., CRM, ad platforms).

Respond promptly to communications, and review or approve deliverables in a timely manner.

Participate in recommended meetings, reviews, and strategy sessions to support campaign effectiveness.

Definition of “Qualified Lead”:

A “qualified lead” refers to a contact who meets the criteria defined in the Service Agreement (such as geography, industry, or other filters) and has demonstrated intent by submitting their information through a lead form, booking tool, or similar conversion event.

Transparency Requirement:
If the Client invokes this service continuity clause, they must provide access to relevant data and reporting systems necessary for Blue Ladder Strategies LLC to validate lead outcomes and diagnose campaign performance.

Blue Ladder Strategies LLC reserves the right to terminate or suspend the service continuity clause if:

The Client fails to fulfill agreed responsibilities, or

Market, platform, or technical constraints beyond our control prevent campaign continuity.

No refunds, financial reimbursements, or guaranteed revenue outcomes are implied or promised under this clause.

9. Limitation of Liability

Blue Ladder Strategies LLC provides its Services with reasonable care and skill. However, we do not guarantee specific financial outcomes, increased profits, or business success, as these are dependent on numerous factors beyond our direct control, including market conditions, your execution of strategies, and external economic factors. Our liability for any claim arising out of or related to these Terms or the

Services, whether in contract, tort (including negligence), or otherwise, shall be limited to the amount of fees paid by you for

the specific Services giving rise to the claim in the six (6) months immediately preceding the event giving rise to the claim.

In no event shall Blue Ladder Strategies LLC be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including, but not limited to, damages for loss of profits, goodwill, use, data, or other intangible losses, even if Blue Ladder Strategies LLC has been advised of the possibility of such damages.

10. Indemnification

You agree to indemnify, defend, and hold harmless Blue Ladder Strategies LLC, its affiliates, officers, directors, employees, agents, and licensors from

and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from or relating to:

(a) your violation of these Terms; (b) your use of the Services; (c) your content or data; or (d) your violation of any rights of another party.

11. Termination

Either party may terminate the Service Agreement or engagement with written notice if the other party materially breaches these Terms or the Service Agreement and fails to cure such breach within thirty (30) days of receiving written notice thereof. Blue Ladder Strategies LLC may also terminate Services immediately without prior notice if, in our sole discretion, your conduct violates any applicable law or is harmful to the interests of Blue Ladder Strategies LLC or its other clients. Upon termination, you shall pay for all Services rendered up to the date of termination. Sections relating to confidentiality, intellectual property, limitation of liability, indemnification, governing law, and dispute resolution shall survive any termination.

12. Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms or the Services shall first

be resolved through good faith negotiations between the parties. If the dispute cannot be resolved through negotiation, the parties agree

to first explore mediation. If mediation is unsuccessful, any remaining dispute shall be submitted to binding arbitration in Maricopa County, Arizona,

in accordance with the rules of the American Arbitration Association. The decision of the arbitrator(s) shall be final and binding

on both parties.

13. Governing Law

These Terms and the relationship between you and Blue Ladder Strategies LLC

shall be governed by and construed in accordance with the laws of the State of Arizona, without regard to its conflict of law principles.

14. Entire Agreement

These Terms, together with any applicable Service Agreement, constitute the entire agreement between you and Blue Ladder Strategies LLC concerning the Services and supersede all prior or contemporaneous understandings, agreements, proposals, and representations, whether written or oral, between the parties regarding the subject matter hereof.

15. Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction,

the remaining provisions shall remain in full force and effect.

16. Changes to Terms

Blue Ladder Strategies LLC reserves

the right to modify or update these Terms at any time, at our sole discretion. We will notify you of any material changes by posting the updated Terms on our website with a revised "Effective Date." Your continued use of our Services after

such modifications constitutes your acknowledgment and agreement to be bound by the modified Terms. We encourage you to review these Terms periodically.
